1. What We Do
inSaaS is a software development service. We design and build websites and digital products for clients on a fixed-scope, project basis, as agreed in a proposal, quote, or scope of work shared with you directly ("Project Scope"). The Project Scope for your engagement is incorporated into this Agreement by reference and governs the specific details of your project.
2. How Projects Are Structured
- Projects begin once you've accepted the Project Scope and any required upfront payment has been made.
- Payment terms (e.g., upfront/milestone/completion split) are set out in your Project Scope.
- All billing is handled off-site via invoice or bank transfer - we do not process payments directly on this website.
- You're responsible for providing accurate billing details.
Final deliverables and full ownership transfer to you only once payment is complete, as described in Section 4.
3. Revisions, Timelines, and Your Responsibilities
- The number of included revision rounds is set out in your Project Scope. Additional rounds beyond what's agreed may be billed separately.
- Timelines are estimates based on the Project Scope, and depend on you providing timely feedback, content, access, and approvals.
- If you're unresponsive for an extended period, we may pause the project, and this may affect the delivery timeline.
- You're responsible for making sure any content, images, or materials you provide don't infringe on someone else's rights.
4. Intellectual Property and Ownership
Once your project is paid in full:
- You own the final deliverables - the completed website, designs, and custom content created specifically for your project.
- We retain ownership of any pre-existing tools, frameworks, code libraries, or components we reuse across projects.
- You receive the right to use everything delivered to you for your business, on an ongoing basis.
We may include your project in our portfolio and marketing materials (case studies, our website, social media), unless we've separately agreed in writing not to. Any third-party assets used in your project (fonts, stock images, plugins) remain subject to their own licenses, and you're responsible for any ongoing licensing costs after handover.
5. Post-Launch Support
Any post-launch support period (bug fixes, minor adjustments) is set out in your Project Scope. Work beyond that - new features, ongoing maintenance, redesigns - is a separate engagement, billed separately.
6. Warranties and Disclaimers
We warrant that we'll carry out the work professionally and in line with the agreed Project Scope. Beyond that, we don't guarantee specific business outcomes - for example, traffic, conversions, sales, or search rankings. We also don't warrant the performance of third-party tools, platforms, or plugins used as part of your project; these are provided as-is.
7. Limitation of Liability
To the extent permitted by law, our total liability to you under this Agreement is limited to the amount you've paid us for the relevant project. We are not liable for indirect, incidental, or consequential losses - including lost profits or lost business - arising from our services.
8. Confidentiality
We'll keep any confidential information you share with us during a project confidential, and we ask that you do the same with any non-public information we share with you. This obligation continues after the project ends.
9. Client Materials
You agree to indemnify and hold us harmless from claims arising from content, materials, or information you provide to us that infringe third-party rights or violate applicable law. This does not cover claims caused by our own work product except as limited in Section 7.
10. Termination
- Either of us can end an engagement with written notice, as set out in your Project Scope, or immediately if the other party materially breaches this Agreement and doesn't fix it within a reasonable time after being asked to. If the Project Scope does not specify a notice period, either party may end the engagement with 14 days' written notice.
- We may pause or end an engagement immediately if payment isn't made as agreed.
- If an engagement ends early, you'll pay for work completed up to that point. We'll hand over whatever has been completed at that stage; amounts already paid for completed work are non-refundable.
11. Force Majeure
Neither of us is responsible for delays caused by events beyond our reasonable control (e.g., natural disasters, internet/infrastructure outages, or other circumstances outside our control).
12. Governing Law
This Agreement is governed by the laws of India. Any disputes arising from this Agreement are subject to the exclusive jurisdiction of the courts of India.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we'll update the "Last updated" date at the top of this page. Continued use of our website or services after an update means you accept the revised Terms.
